Terms and Conditions

Digital SproutX · Uttara, Dhaka, Bangladesh. Please read this page carefully; it explains how the rules apply when you use our website or our services.

These terms set out the rules for using our website and the conditions under which Digital SproutX provides services to clients in Bangladesh and abroad.

1. Acceptance of these terms

By using digitalsproutx.com or engaging Digital SproutX for any service, you agree to these Terms and Conditions. If you are accepting on behalf of a company, you confirm you have authority to bind that company. These terms apply together with any written proposal, quotation or service agreement we issue; if there is a conflict, the signed proposal or agreement takes priority.

2. Our services

We provide search engine optimisation, brand and website design, content writing, social media management, paid advertising management, analytics and related consulting. The exact scope, deliverables, timeline and fees for each engagement are set out in a written proposal that you approve by email, signature or payment of the first invoice.

3. Quotations and proposals

Quotations are valid for 30 days from the date issued. Prices on our website are starting prices for typical scopes and are not binding offers. Work outside the agreed scope is quoted separately and only begins after your written approval.

4. Fees and payment

  • Monthly plans are invoiced in advance at the start of each service month and are due within 7 days.
  • One-off projects require a 50% advance before work begins and the remaining 50% on delivery, unless otherwise agreed in writing.
  • Payments may be made by bank transfer, bKash or Nagad. Mobile financial service charges are the payer’s responsibility.
  • All prices are in Bangladeshi Taka (BDT). VAT and applicable taxes are added where required by law.
  • Advertising spend is paid by you directly to the platform (such as Meta or Google) and is separate from our fees.
  • We may pause work on accounts with invoices overdue by more than 15 days, after giving written notice.

5. Your responsibilities

  • Provide accurate information, timely feedback and the access we need to perform the work.
  • Nominate one decision-maker who can approve work, ideally within two working days.
  • Ensure that any materials you supply — logos, images, text, product claims — are yours to use and do not infringe anyone else’s rights.
  • Comply with the policies of platforms such as Google and Meta, and with laws that apply to your products and advertising.

6. Term and termination

Monthly plans have a minimum term of three months, after which they continue month to month. Either party may end a monthly plan with 30 days’ written notice. One-off projects end on delivery and final payment. Either party may terminate immediately if the other materially breaches these terms and does not fix the breach within 15 days of written notice. Fees for work completed up to termination remain payable.

7. Intellectual property

Once all invoices for a project are paid in full, you own the final deliverables we create specifically for you, including final logo files, website designs, written content and design templates. We keep ownership of our pre-existing tools, methods, templates and know-how, and grant you a licence to use any of them embedded in your deliverables. Unused concepts and drafts remain our property. Third-party assets such as stock photos, fonts and plugins are subject to their own licences.

8. Portfolio rights

Unless you ask us not to in writing, we may mention your business name and show non-confidential work in our portfolio and proposals after it has been published. We never disclose your confidential data, results or strategy without permission.

9. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including business plans, customer data, pricing and login credentials, and to use it only for the purposes of the engagement. This obligation continues for two years after the engagement ends.

10. No guarantee of specific results

Search rankings, traffic, social reach and advertising performance depend on factors outside our control, including platform algorithms, competition and market conditions. We commit to professional, best-practice work but do not guarantee specific rankings, sales or results. Please also read our Disclaimer.

11. Limitation of liability

To the extent permitted by law, our total liability for any claim arising from an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose. We are not liable for indirect or consequential losses such as lost profits, lost data or business interruption, or for actions taken by third-party platforms, hosting providers or payment channels.

12. Governing law and disputes

These terms are governed by the laws of the People’s Republic of Bangladesh. Both parties will first try to resolve any dispute through good-faith discussion. If that fails within 30 days, disputes will be subject to the exclusive jurisdiction of the courts of Dhaka.

13. Changes and contact

We may update these terms from time to time. The version in force when you approve a proposal applies to that engagement.
